1204. Organization--1. The board shall consist of the number of members as defined in 805 of the general provisions with the addition of these central conference persons (one of whom shall be a woman): one bishop or an alternate bishop (810.10), one clergy, and one layperson, to be elected by the Council of Bishops. In addition there shall be one layman from each jurisdiction who shall be the president of the jurisdictional committee of United Methodist Men or, because of the inability of the president to serve, another elected by and from the jurisdictional committee on United Methodist Men (635) and two laymen, one of which shall be the president of the National Association of Conference Presidents United Methodist Men or, because of the inability of the president to serve, the elected first vice-president, and one elected president from a national organization of United Methodist Men of a central conference or conferences who shall be selected by the Commission on Central Conference Affairs. It shall be organized to accomplish its work through elected officers as prescribed in 808.

2. The board may elect an executive committee and establish such rules as necessary for the carrying out of its duties.

3. The board shall determine and establish the appropriate organization of the board and its staff, and may create or discontinue as deemed necessary, divisions, sections, committees, task forces, and consultations to carry out the regular or special duties of the board.

4. The board shall provide such bylaws as necessary to facilitate the work of the board, which shall not violate any provisions of the Discipline and which may be amended by a two-thirds vote of the members present and voting thereon at a regular or special meeting; provided that written notice to such amendment has been given to the members and the vote thereon shall be delayed at least one day.

5. Adequate provisions shall be made in its organizational structure for all responsibilities assigned to the board. These organizational units shall be amenable to and report regularly to the board and its executive committee.
